By entering into this sweepstakes (the “Sweepstakes”) administrated by Unwell Audio Network (“Unwell”) and Harry Jowsey (collectively with Unwell, the “Sponsor”, “Company”, “we”, “us”), you agree that you have read all of the Rules, and agree to abide and be bound by them, as well any other applicable laws or regulations.
1. Who Can Enter. The Sweepstakes is open only to legal residents of the forty-eight (48) states of the United States (the “Territory”), excluding residents of the states of New York and Florida, who are eighteen (18) years of age or older or the age of majority in their state of residence (which is nineteen (19) in Alabama, Nebraska, twenty-one (21) in Mississippi, and eighteen (18) in all other states) as of the date of entry (the “Entrant”), and is void where otherwise prohibited, taxed or restricted by law. Officers, directors, managers, and employees of Unwell, and each of its respective parents, subsidiaries, affiliates and related companies and their respective advertising and promotion agencies, consultants and agents, as well as immediate family members and/or those living in the same household of each such person, and any others engaged in the development, production, execution or distribution of this Sweepstakes are not eligible to participate. Sweepstakes may only be entered in or from the Territory, and entries originating from any other locations are not eligible for entry. All federal, state and local laws and regulations apply.
2. Sweepstakes Timeline. The Sweepstakes begins on May 24, 2024 at 12:01 AM Pacific Standard Time and ends on May 30, 2024 at 11:59 PM Pacific Standard Time (the “Window”). The times for the opening and closing of the Window shall be determined solely by Company.
3. Method of Entry. You can enter the Sweepstakes up to one (1) time total by any of the following ways:

By submitting an entry, you agree with and represent and warrant that you are complying with all of the terms and conditions of these Rules and are otherwise an eligible Entrant.
Regardless of the entry method used to enter the Sweepstakes, there is a limit of one (1) entry per Entrant. Any attempt by an Entrant to obtain more than one entry by using multiple or different identities, or any other methods will void that Entrant’s entry and that Entrant may be disqualified from the Sweepstakes. Entries submitted by anyone other than the Entrant are void. Any potential Prize Winner (defined below) may be requested to provide Sponsor with proof that such person is the prize winner and an eligible Entrant.
Sponsor is not responsible for any entry that is lost, late, illegible, stolen, mutilated, incomplete, invalid, unintelligible, postage-due, misdirected or undeliverable, whether due to system errors, omissions, interruption, deletions, defects, delay in operations or transmissions, theft or destruction or failures, faulty transmissions or other telecommunications malfunctions, human error, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise. Only fully completed and received entries are eligible. Proof of submission will not be deemed to be proof of receipt by Sponsor.
4. Odds. Your odds of winning depend on the number of eligible entries received.
5. Sweepstakes Drawing, Winner. Company shall conduct a random drawing of eligible entries to select one (1) winner of the Grand Prize, one (1) winner of the First Prize, and one (1) winner of the Second Prize (each, a “Winner”). Once selected, Company shall attempt to contact each selected Winner either via email or direct Instagram message, depending on the method of entry. Once contacted, each Winner shall be required to supply proof of identity, eligibility, and such other documentation as reasonably requested by Company to verify each Winner is an eligible Entrant in accordance with these Rules and applicable law and which may include without limitation a form W-9. In the event that the selected Winner cannot be contacted within one week or the selected Winner is not an eligible Entrant under these Rules, a subsequent random drawing shall be held and the notification and verification process continued until an eligible Winner is found.
6. Sweepstakes Prize. The prizes (collectively, the “Prizes”) are as follows:

PRIZES WILL BE ACCEPTED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE). Company is neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to a Prize, including express warranties provided exclusively by a Prize manufacturer that may be sent along with a prize. All taxes, if applicable, are the sole responsibility of the Winner. No Prize substitution, cash substitution, or assignment or transfer of Prizes is permitted. Winners agree that the Prizes shall be given to the Winners and that the Prize is not redeemable for cash or credit. Winners agree that the Prizes will not be sold, transferred or in anyways assigned until after received by Winner.
7. Notification. Following the random drawing, Company shall contact the selected Winners either by email or direct Instagram message, depending on the method of entry, to inform them of winning the Sweepstakes. YOU AGREE THAT BY ENTERING THE SWEEPSTAKES YOU CONSENT TO COMPANY CONTACTING YOU AS WELL AS SHARING YOUR CONTACT INFORMATION AS REUIRED TO PROVIDE YOU WITH A PRIZE. IF COMPANY IS UNABLE TO CONTACT YOU WITHIN ONE WEEK, A NEW WINNING ENTRY SHALL BE SELECTED AND THE NOTIFICATION PROCESS CONTINUED UNTIL A WINNER IS CONTACTED.
8. Prohibited Actions; Terminating Events. Any persons who tamper with, damage, abuse or attempt to do any of the foregoing or who are in violation of these Rules as determined by the Company in its sole direction shall be disqualified and any associated entries voided. The Company reserves the right to cancel the Sweepstakes for any reason including in the event that a virus, bug or other cause corrupts the administration, security, operation or fairness of the Sweepstakes. Entries generated by any mechanical or automated means shall be disqualified. Further, entries that are generated from multiple email accounts and/or user accounts that are owned by or under common control by one person shall be disqualified. Any Participant deemed to have violated these Rules, acted in bad faith, or attempted to defraud the Company or cheat in the Sweepstakes, is subject to any measures deemed appropriate by the Company in response, which may include without limitation, a removal from the Sweepstakes and forfeiture of any prizes in the Company’s sole discretion.
9. List of Winner. One Winner will be announced on Instagram each week for three weeks after they are confirmed.
10. Limitation of Liability. COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING FROM YOUR PARTICIPATION IN THE SWEEPSTAKES OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO THE SWEEPSTAKES. THESE EXCLUSIONS FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES. AS APPLICABLE, COMPANY’S AND ITS VENDORS’ LIABILITY SHALL BE LIMITED ONLY TO THE EXTENT PERMITTED BY LAW.
11. Release of Liability. BY PARTICIPATING IN THE SWEEPSTAKES, PARTICIPANT HEREBY AGREES TO RELEASE THE COMPANY AND EACH OF THEIR RESPECTIVE SHAREHOLDERS, MEMBERS, AFFILIATES, DIRECTORS, EMPLOYEES, OFFICERS AND AGENTS, FOR, AGAINST AND FROM, ANY COST, CLAIM, LIABILITY OR EXPENSE, ARISING OUT OF OR RELATED TO ANY AND ALL LIABILITY, INJURY, LOSS, OR DAMAGE OF ANY KIND TO PROPERTY OR PERSON(S), INCLUDING DEATH, ARISING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM OR IN CONNECTION WITH PARTICIPATION IN THE SWEEPSTAKES, OR THE AWARDING, RECEIPT, POSSESSION, USE OR MISUSE OF ANY PRIZE AND/OR WITH RESPECT TO PARTICIPATION IN ANY SWEEPSTAKES -RELATED ACTIVITY.
12. Right of Use. Acceptance of a Prize by a Winner constitutes permission to use any of such person’s name, likeness, and biographical information for advertising and publicity in regards to the Sweepstakes and announcement of the Winners, without compensation, unless prohibited by law.
13. Miscellaneous Provisions.
The Sweepstakes shall be administered and interpreted by Company, which shall have sole authority to make rules and regulations for the administration of the Sweepstakes. The interpretations and decisions of Company with regard to the Sweepstakes shall be final and conclusive and binding upon all Participants.
Company reserves the right to suspend, terminate, or amend the Sweepstakes at any time, and from time to time, in its sole discretion, including, but not limited, to situations where a change to its structure or it is necessary or appropriate to comply with relevant laws or regulations, or in the case of insolvency, acquisition, or sale of the Company. The Company may also place a limit on the total value of any prize, in its sole discretion. Prize values may fluctuate in monetary value over time.
Company makes no representations or warranties concerning the Sweepstakes or participation in the Sweepstakes. Each person participates at his/her own risk.
No Participant may engage in any conduct that violates any law, contractual obligation, terms of use or constitutes harassing or unacceptable conduct, as determined by Company in its sole discretion.
Company reserves the right to conduct a similar or identical sweepstakes in the future, which may be governed by the same or different rules.
These Rules are governed by the laws of the State of California, without regard to conflict-of-laws principles. These Rules constitute the entire agreement and understanding between the Company and you and supersede all prior agreements and understandings, written and oral, relating to the subject matter hereof. You agree that any suit or action that may be brought against the Company may only be brought in the state and/or federal courts in Los Angeles County, California and hereby consent to jurisdiction and venue therein.
The invalidity or unenforceability of any portion or provision of these Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If there is a discrepancy between these Rules and any other promotion materials, the Rules will control and govern the Sweepstakes. Sponsor's failure to enforce any term of these Rules will not constitute a waiver of that provision.
PARTICIPANTS AGREE TO ABIDE BY THESE RULES AND BY THE DECISIONS OF THE COMPANY, WHOSE DECISIONS ARE FINAL IN ALL MATTERS RELATING TO THIS SWEEPSTAKES.
